Responsibilities
- Advise private equity sponsors, institutional investors, and portfolio companies on buyout transactions, add-on acquisitions, co-investments, joint ventures, and co-sponsor transactions
- Draft, review, and negotiate transactional documentation across the full lifecycle of private equity and M&A deals
- Take a hands-on role in managing transactions, with increasing autonomy and responsibility
- Coordinate with opposing counsel, clients, and internal deal teams to drive transactions forward efficiently
- Provide strategic and practical legal advice tailored to client objectives
- Collaborate closely with partners and associates in a team-oriented, high-performance environment

Requirements
- Approximately 4 years of U.S. transactional experience in a law firm setting
- Significant experience in private equity and M&A transactions
- Demonstrated ability to manage deals with limited supervision
- Strong judgment, attention to detail, and commercial awareness
- Excellent interpersonal and communication skills
- Ability to work effectively both independently and as part of a team
- Member in good standing of the New York Bar
